Board of Directors

Timothy Price, Chairman.
Mr. Price is the Chairman, Brookfield Funds of Brookfield Asset Management Inc. and served previously as Chairman of the boards of directors of Brascan Financial Corporation, The Edper Group Limited and Hees International Bancorp Inc. Mr. Price has had over 30 years of management experience with the Brookfield (formerly Brascan) Group of companies. Mr. Price received his BA in 1964 from the University of Victoria and his CA in Quebec in 1969. Mr. Price is active on several other public corporate boards: Astral Media Inc., Brookfield Homes Corporation and Morguard REIT. In the community, he serves as Chair of the York University Foundation and the Centre for Addiction and Mental Health Foundation.

Osama Arafat, Chief Executive Officer.
Prior to joining Q9 in 2001, Mr. Arafat was a partner at J.L. Albright Venture Partners were he directed a number of emerging technology companies in Canada. Previously, Mr. Arafat co-led Isolation Systems Ltd., an award-winning manufacturer of VPN solutions. In 1994, Mr. Arafat co-founded InfoRamp, one of Toronto’s largest and best known Internet service providers. Mr. Arafat holds a Master of Engineering from McGill University and a B.Sc. in Electrical Engineering from George Washington University.

Paul Sharpe, President & Chief Operating Officer.
Mr. Sharpe founded Q9 Networks Inc. in 1995. He has 16 years of extensive experience in research, development, deployment and management of telecommunications and Internet related products. Mr. Sharpe studied computer science at the University of Toronto and was the recipient of an IBM Technology Award and a Natural Sciences and Engineering Research Council grant for his telecommunications research.

John Albright, Director.
Mr. Albright is a partner and founder of J.L. Albright Venture Partners, a venture capital firm established in 1996. Mr. Albright is a Chartered Financial Analyst and received his Bachelor of Business Administration degree from the Schulich School of Business at York University. Mr. Albright currently serves as a director on several boards.

Timothy Aubrey, Director
Mr. Aubrey has more than 18 years experience in accounting and finance operations and Information Technology. Most recently, Mr. Aubrey was the Senior Vice President, Finance for Fairmont Hotels and Resorts Inc. During his eight-year tenure with Fairmont (formerly Canadian Pacific Hotels), Mr. Aubrey was responsible for the standardization of accounting policies and processes and the harmonization of reporting across the company. In addition, Mr. Aubrey held responsibility for Information Technology and under his leadership, Fairmont's computing infrastructure was successfully outsourced to Q9 Networks. Prior to this, Mr. Aubrey was responsible for Information Technology at Canadian Pacific Limited. Mr. Aubrey holds a Bachelor of Commerce degree from McMaster University and a Masters of Business Administration degree from the University of Western Ontario.

Dave Caputo, Director.
Mr. Caputo is co-founder, president and CEO of Sandvine Incorporated (TSX: SVC, LSE AIM: SAND). Prior to co-founding Sandvine, Mr. Caputo was the vice president of marketing for PixStream, one of Canada's most successful technology companies. Launched in 1997, Pixstream was sold to Cisco Systems in 2000. At Cisco, Mr. Caputo was the Managing Director for the Video Networking Business Unit. Prior to Cisco, Mr. Caputo was the Product Marketing Manager for Hewlett Packard's Storage Systems Division in Colorado. Mr. Caputo holds an MBA from the University of Toronto, a computer science degree from York University and is a graduate of Wharton executive education programs.

Linda Dougherty, Director.
Ms. Dougherty has more than 16 years of experience in the investment banking, private equity and consulting industries. Ms. Dougherty is currently Vice President, Corporate Development, The Toronto-Dominion Bank. Prior to joining The Toronto-Dominion Bank in this role, Ms. Dougherty was a Partner with Birch Hill Equity Partners and a Managing Director with TD Capital. Ms. Dougherty has also held various positions with TD Securities Inc. in Corporate Finance and Mergers and Acquisitions and with Oliver, Wyman & Company. Ms. Dougherty holds degrees from the Wharton School of Business and College of Arts and Sciences of the University of Pennsylvania. She has also completed the Executive Development Programme at the Kellogg Graduate School of Management.

Timothy Jackson, Director.
Mr. Jackson is a partner at Tech Capital Partners Inc. ("Tech Capital"), a venture capital firm focused on early stage technology companies. Prior to Tech Capital, Mr. Jackson was the Chief Financial Officer and acting Chief Executive Officer of PixStream Incorporated. Mr. Jackson has considerable experience with financial transactions including initial public offerings and corporate acquisitions in many diverse industries. He has also served as a director on numerous corporate boards. Mr. Jackson has a Bachelor of Arts degree in accounting from the University of Waterloo and is a Chartered Accountant.

Rt. Hon. John N. Turner, Director.
Mr. Turner is a partner in the Toronto office of Miller Thomson LLP, a law firm. Mr. Turner is called to the Bars of Gray's Inn, London, Quebec, Ontario, British Columbia, Yukon and Northwest Territories. Mr. Turner enjoyed a distinguished 25-year career as a Member of the Parliament of Canada during which he represented three provinces, Quebec, Ontario and British Columbia. During his tenure in Parliament he served in a number of portfolios including: Minister of Justice and Attorney General of Canada, Minister of Finance, Prime Minister of Canada and Leader of the Opposition. Mr. Turner was appointed a Companion of the Order of Canada in 1995. Mr. Turner is a member of the advisory board or board of directors of several Canadian companies.
